1. Agreement

These Terms of Service ("Terms") form a legal agreement between you and RailRun Ltd, a company registered in England & Wales ("RailRun", "we", "us"). By creating an account, installing the RailRun plugin, or otherwise using the service, you agree to be bound by these Terms. If you do not agree, do not use the service.

2. The service

RailRun is a workflow platform (MCP server + admin portal) for software-engineering teams using AI coding agents. The service is stack-agnostic; it integrates with ticket sources (Jira, Linear, GitHub Issues, Sentry, Crashlytics, manual entry), design tools (Figma), version control systems (GitHub, GitLab, Bitbucket), and the user's choice of AI agent host (Claude Code or Cursor) to orchestrate AI-assisted development workflows that produce human-reviewable pull requests. Legal review required before public launch — see LEGAL-REVIEW-REQUIRED.md.

RailRun is a Bring Your Own Key (BYOK) platform. It connects to your chosen LLM provider using credentials you provide and store locally. RailRun Ltd does not operate an LLM service and is not responsible for the output of third-party LLM providers.

3. Your account

  • You must be at least 16 years old to use RailRun.
  • You are responsible for maintaining the confidentiality of your credentials.
  • You must provide accurate information when creating an account.
  • You are responsible for all activity under your account.
  • You must notify us immediately of any unauthorised access to your account.
  • One person per account; team accounts may add seats via the Team tier.

4. Acceptable use

You may not:

  • Use RailRun to violate any applicable law or third-party rights.
  • Reverse-engineer, decompile, or disassemble the plugin except to the extent permitted by law.
  • Circumvent or interfere with security features, rate limits, quota enforcement, or the BYOK flow.
  • Submit content that contains malware, exploits, or illegal material.
  • Attempt to send RailRun's backend source code you do not have rights to process.
  • Attempt to override or disable the iosMain read-only architectural constraint.
  • Use RailRun to harass, dox, or harm others.
  • Resell or white-label the service without a commercial agreement.

We reserve the right to suspend or terminate accounts that violate these rules.

5. BYOK — your LLM provider

When you configure an LLM provider (Gemini, Mistral, DeepSeek, Ollama, OpenRouter, or similar), the RailRun plugin sends requests directly from your machine to that provider's API. RailRun Ltd is not a party to those requests. Your LLM provider's terms and privacy policy apply to everything the plugin sends on your behalf.

You are responsible for:

  • Paying your LLM provider directly for usage charges.
  • Complying with your LLM provider's acceptable use policy.
  • Understanding whether your provider trains on submitted data (for example, free-tier Gemini in AI Studio may train on your code).
  • Reviewing RailRun's Privacy Disclosure screen before running your first WorkUnit with any provider.

6. Intellectual property

Your content

You retain all rights to your source code, Jira tickets, Figma files, and any other content you process through RailRun. Granting RailRun access to operate the plugin on your behalf does not transfer ownership of any of that content to us.

AI-generated output

The ownership and copyright status of code generated by Large Language Models is a developing area of law that varies by jurisdiction. RailRun makes no warranty regarding the originality, copyright status, or licence-compliance of AI-generated output. You are solely responsible for reviewing generated code, ensuring compliance with applicable open-source licences, and confirming that you hold all necessary rights before merging any Pull Request produced by RailRun. The mandatory human review step in every RailRun workflow exists for this reason.

RailRun's IP

The RailRun plugin, backend, and brand are owned by RailRun Ltd. You receive a limited, non-exclusive, non-transferable licence to use them under these Terms.

7. Fees, billing, and refunds

  • The RailRun plugin is free to install. The Solo tier includes 10 WorkUnits per month at no charge.
  • Paid tiers (Pro £19/month, Team £49/seat/month, Enterprise custom) are billed monthly or annually in advance via Stripe.
  • All prices are in GBP and exclude VAT, which is added for UK and EU customers where applicable.
  • You pay your LLM provider directly for any LLM inference usage. RailRun does not charge LLM inference fees.
  • Subscriptions auto-renew unless cancelled. You may cancel at any time from the admin dashboard; access continues until the end of the paid period.
  • We do not offer refunds for partial months except where required by law. Enterprise agreements may include custom refund terms.
  • If payment fails, we will suspend your account after 7 days and delete it after 30 days.

8. Warranties and disclaimers

RailRun is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or that the service will be uninterrupted, secure, or error-free.

We do not warrant that AI-generated code will be correct, complete, secure, free of bugs, licence-compliant, or suitable for your use case. All generated code must be reviewed by a human before being merged or deployed.

9. Limitation of liability

To the maximum extent permitted by law, RailRun Ltd's total aggregate liability to you for any claim arising out of or relating to these Terms or the service is limited to the greater of (a) the fees you paid to RailRun Ltd in the 12 months preceding the claim, or (b) £100.

We are not liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits, lost data, business interruption, or reputational harm, even if we have been advised of the possibility of such damages.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under English law, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

10. Indemnification

You agree to indemnify and hold RailRun Ltd harmless from any third-party claims, damages, or costs (including reasonable legal fees) arising from: (a) your use of the service, (b) your violation of these Terms, (c) code you merged after RailRun generated it, or (d) your violation of any applicable law or third-party right.

11. Term and termination

These Terms remain in effect while you use the service. You may terminate at any time by closing your account from the admin dashboard. We may suspend or terminate your account with or without notice if you violate these Terms, if we reasonably suspect fraudulent or unlawful activity, or if continued provision would expose us to legal risk.

Upon termination, your right to use the service ends immediately. Sections 6 (IP), 8 (Warranties), 9 (Liability), 10 (Indemnity), and 13 (Law) survive termination.

12. Changes to the service

We may modify, suspend, or discontinue any part of the service at any time. Material changes to these Terms will be announced via email and in the plugin changelog at least 30 days before taking effect. Your continued use after the change takes effect constitutes acceptance.

13. Governing law and disputes

These Terms are governed by the laws of England and Wales, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms will be resolved exclusively in the courts of England and Wales, except that either party may seek injunctive relief in any court of competent jurisdiction.

14. General

  • Entire agreement: these Terms, together with our Privacy Policy and (if applicable) DPA, constitute the entire agreement between you and RailRun Ltd.
  • Severability: if any provision is held unenforceable, the remaining provisions remain in full force.
  • No waiver: failure to enforce a right is not a waiver of that right.
  • Assignment: you may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
  • Notices: we may give notices via email to your account address or by posting in the plugin or on railrun.dev.
